Article 1 (Purpose)
The following terms and conditions serve to decide the basic rights, values and other important conditions of the members using the Chinese educations services through www.everydaycn.com ran by Deep Love Co. Ltd.

Article 2 (applicability, change and effect of terms and conditions)
1. These terms and conditions are posted on the service page or by other means. Therefore it is in effect.
2. Deep Love Co., Ltd may change terms and conditions due to valid reasons if it does not violate any related laws and unlawfully prejudice members’ rights.
3. Deep Love Co., Ltd must notify on its website citing the reasons for making the change and the date of change (effective date) of terms and conditions 7 days before its effective date. However, important changes that affect members’ rights or obligation must be notified at least 30 days before is effective date on the company website and all members’ must be notified the new terms and conditions via email.
4. Per paragraph 2.3 if no members indicate their disagreement within 30 days of notification, Deep Love Co., Ltd has the right to assume that members have agreed to the new terms and conditions.
5. Members who do not agree to the new terms and conditions have the right to stop using the service and cancel membership.
6. Members have an obligation to be aware of changes to terms and conditions. Deep Love Co., Ltd is not responsible for any damages caused for not being alert to changes to the terms and conditions.

Article 3 (Other terms and conditions)
All other terms and conditions not shown on this document are applicable to related laws, individual terms and conditions set by Deep Love Co., Ltd and other applicable rules.

Article 4 (Definitions)
The terms used herein are defined as follows: 1. Member: means a person visits the website, agrees and signs a contract of service with Deep Love Co., Ltd and receives an ID and password.
2. User: means a person who is willing to sign a contract of service and use services provided by Deep Love Co., Ltd.
3. ID: Combination of letters and numbers set by members and approved by Deep Love Co., Ltd to identify individual members.
4. Password: Combination of letters and numbers set by members to confirm matching ID and protect personal information of members.
5. Recording File: Audio file provided to users via website containing lesson contents.
6. Post: symbols (including URLs), text, audio, music, videos, images (including photos) and files that members upload.

Article 5 (Establishment of contract of use)
1. Contract of use is established, when the user “agrees” to terms and conditions and personal information collection policy, fills in the application provided by Deep Love Co., Ltd for the use of service and Deep Love Co., Ltd approves of this.
2. The user agreeing to all terms and registering, Deep Love Co., Ltd has the right to assume the user has thoroughly assessed the personal information collection policy as well as terms and conditions. Deep Love Co., Ltd also has the right to assume the user agrees to all other terms and conditions (copyright policy, service usage instructions etc.).

Article 6 (Required information for registration)
Users applying to become a member must provide the following information to Deep Love Co., Ltd on the registration page: ID, name, date of birth, password, address, phone number, email address etc.)

Article 7 (registration approval and restrictions)
1. Deep Love Co., Ltd, approves registration by users in order of application unless there are administrative or technical difficulties.
2. Deep Love Co., Ltd has the right to reserve user applications in circumstances described below.

①. When providing service is technically not possible.
②. Use of fake names or someone else’s name other than him/her self or filling out application with false information.
③. Missing required user information when applying.
④. When Deep Love Co., Ltd has a valid reason.

3. Deep Love Co., Ltd can differentiate service provided per member qualification(无标点符号)

Article 8 (Change of use contract)
1. Members may view and edit his/her personal information at any time with the method provided by Deep Love Co., Ltd
2. Members must edit any changes to their personal information since his/her registration.
3. Members are solely responsible for any problems caused by them not acting per paragraph 8.2. Deep Love Co., Ltd is not responsible for any problems experienced by member due to this reason.

Article 9 (use of service)
1. Deep Love Co., Ltd allows use of service from the time of approval of member’s application. Some services including paid services are only made available after successful payment or date/time set by Deep Love Co., Ltd.
2.If service cannot be provided due to administrative or technical difficulties, a notice will be put up on the website or the individual members affected will be notified

Article 10 (Service Hours)
1. Service is provided 24 hours, 365 days a year. However, service may be interrupted due to reasons deemed necessary by Deep Love Co., Ltd such as system maintenance, expansion and system failure. Deep Love Co., Ltd will notify users before or after the event depending on the situation.
2. Deep Love Co., Ltd may divide serviceable sectors and differentiate available service hours. Deep Love Co., Ltd put up a notice if this occurs.

Article 11 (Change or stoppage of service)
1. Deep Love Co., Ltd may provide changes in service by notifying the users the changes made to service and the time the change of service is going to occur.
2. If applicable to each event shown below Deep Issue Co., Ltd has the right to partially or full stop providing service.

①. Inevitable service events such as expansion, repair and maintenance.
②. In circumstances where Deep Love Co. Ltd has no control over and deems necessary to stop providing service.
③. In an event where there is high volume to traffic that causes service interruption.
④. In an event where there is a change to new service that is deemed necessary by Deep Love Co., Ltd.
⑤. If uncontrollable events such as blackout, natural disaster or national emergency were to occur.

3. Deep Love Co., Ltd will notify its users prior to events described per paragraph 11.2 occurring. However, this will not occur in an event that is inevitable (ex, operator intentional, hardware failure, system failure).
4. Deep Love Co., Ltd will provide extra lessons or postpone lessons that cannot be utilized by users during inevitable circumstances free of charge.
5. The rule is the lessons take place during weekdays. However, for special weekend products, lessons may take place on weekends.
6. One month of service is based on 20 lessons.
7. Application for extra lessons or postponement of lessons is available up to 3 times per month of paid service. If lessons have not occurred due to the liability of the customers without him/her applying for extra lessons or postponement of lessons, Deep Love Co., Ltd will assume that service has already been provided and will not be liable to provide extra lessons.

Article 12 (Management of ID and Password)
1. Members are solely responsible to take care for their own ID and Password. Members will be responsible for any outcomes that result from mishandling, unauthorized transfer and lease of personal information.
2. If members recognize a theft of their ID and password or any occurrence of suspicious activities, members must immediately notify Everyday Chinese and follow instructions provided by Deep Love Co., Ltd.
3.If a member’s ID is duplicated and deems to cause interruptions in service, Deep Love Co., Ltd may ask the member to change their ID for a set amount of time chosen by Deep Love Co., Ltd. Deep Love Co., Ltd has the right to change non-essential parts of members’ ID following changes or mergers. Deep Love Co., Ltd will notify prior to the event.

Article 13 (Members’ posts)
1. Members’ are responsible for any personal damages or losses caused by their own posts while using the service. Members should be aware of related laws when making posts.
2. Members may not make any posts that violate any of the regulations below. Deep Love Co., Ltd has the right to delete, move or reject existing posts if Deep Love Co., Ltd deems that it violates the regulations shown below. Also, Deep Love Co., Ltd may change any instructions regarding making posts and members must follow these instructions when making posts.

①. 1. Contains contents that defame other members or other people.
②. Distributing contents that violate public order and morality.
③. If the content is found to be associated with a criminal act.
④. Contains content that causes infringement of copyright of Deep Love Co., Ltd or other rights of third parties.
⑤. If it causes political or religious disputes in a way that violates the law or violates the rights of others.
⑥. Posting of unnecessary or unauthorized advertising or promotional material.
⑦. If the content is created by impersonating or impersonating another person's personal information, or if the information entered by another person is illegally altered.
⑧. Duplicate posts containing the same contents that retracts from the intended purpose of the post.
⑨. If it contains contents that violate other related laws or violates intentions of Deep Love Co., Ltd.

3. If Deep Love Co., Ltd cannot decide whether a member’s post violates the regulations above or assumes that a conflict may occur, Deep Love Co., Ltd has the right to temporary block access to the post.
4. The temporary blockage of access discussed in term 3 is limited to maximum of 30 days. However, this is not applicable If there is no interpretation or judgment, or there is no consensus among stakeholders.

Article 14 (Copyright of Posts)
1. The copyright of posts posted by members within the website are protected under copyright laws. Literary work or any other intellectual properties created by Deep Love Co., Ltd belongs to Deep Love Co., Ltd.
2. Users give permission to Deep Love Co., Ltd use their posts domestically and internationally for intentions described in the next article.
3. Notwithstanding the provisions of the preceding paragraph, if Deep Love Co., Ltd uses the post of the user for commercial purpose other than the purpose stated in the preceding paragraph, Deep Love Co., Ltd will obtain consent from the user by telephone or e-mail in advance.
4. Deep love is not responsible for the disputes related to the copyright of the post posted by the user, and it is the responsibility of the user who is the publisher, since the post posted by the user on the site is entirely based on the will of the member.
5. If a member withdraws or loses his / her membership, the posts recorded in his / her account will be deleted. However, postings posted by third parties such as snipping, reposts, postings, and postings obtained from public service are not deleted.
6. Deep Love Co., Ltd can change the posting position of the post without changing the contents of the original post due to the merger, the transfer of the business, the integration between the operating sites and so on.

Article 15 (Services Provided)
1. Deep Love Co., Ltd provides the services shown below.

①. Telephone, VOIP lecture service
②. Video lecture service
③. Level testing service
④. Educational information provision and counseling service
⑤. Various other Chinese education related services

2. The approval period for the use of each service under Paragraph 1 shall be started as soon as a member requests to use the service unless the Deep Love Co., Ltd separately notifies. However, some services may be provided for a fee, in which case the fees, terms of use, and payment methods are subject to separate notice procedures.
3. Some services described in paragraph 1 are available only when a separate program or application is installed. Deep Love Co., Ltd will notify you how to install programs, applications, and how to uninstall them.
4. Deep Love Co., Ltd may provide various information deemed necessary by Deep Love Co., Ltd for use of service to members by various methods such as e-mail, SMS, etc. for various information deemed necessary by the member during use of the service. If the member does not want it, he/she can opt out of receiving information.
5. In principle, refunds for service use fees shall be made through the means of payment made by the member. However, if the refund is difficult due to the reason such as the lapse of the due date, the refund can be made in cash.
6. Deep Love Co., Ltd can change, add or delete the contents of the service provided. In this case, Deep Love Co., Ltd will specify the contents of the changed, added, or deleted services and notify them on the relevant services screen.

Article 16 (Telephone Lecture Service)
1. The telephone lecture service is a service in which the teacher calls the telephone number designated by the member at the time set by the member and conducts classes such as Chinese conversation lectures for a fixed period.
2. Telephone lecture service may be provided for a fee in which case the member will be notified of the fee, conditions of use, and payment method.
3. Members who use the telephone lecture service must keep their mobile phone and other means of communication available for the duration of the telephone lecture service.
4. Members should inform Everyday Chinese without delay when telephone numbers are changed to receive telephone lecture service so that the lecture service can be provided without interruption.
5. The provision of telephone lecture service for each meeting will be started by Deep Love Co., Ltd calling the telephone number designated by the member at the time determined by the member. Deep Love Co., Ltd will try to make more than 3 phone calls if the member does not answer.
6. If the member does not respond even though Deep Love has begun to provide the telephone lecture service in accordance with paragraph 5, the lecture service will be provided and the Deep Love Co., Ltd will not provide any compensations.
7. If the scheduled lesson is not fully progressed due to the deliberate or grave error of Deep Love Co., Ltd, Deep Love Co., Ltd will provide affected members with extra lessons. However, in the case, where it is due to reasons under member's circumstances, it is not compensated separately.
8. The circumstances for refund of paid telephone lecture service is shown below

①. In the case of the following reasons, we will refund the service fee for the service of the telephone lecture paid from the day on which the reason for each item occurs.
A. If unable to provide telephone lecture services due to administrative disposition of telephone lecture service
B. If Deep Love Co., Ltd cannot provide phone lecture service due to circumstances of Deep Love Co., Ltd
②. If a member terminates the use of the telephone lecture service or terminates the service use contract, the refund will be made as follows.

The refund policy for tuition fees are as below (monthly basis)
* Commencement of 5 lessons or less out of 20 – 75% of monthly tuition fees are refundable
* Commencement of 10 lessons or less out of 20 – 50% of monthly tuition fees are refundable
* Commencement of 10 lessons or more out of 20 – No refund is available

③. The total class time described in paragraph 2 refers to the total class time during the collection period of the telephone service tuition fee, and the calculation of the refund amount is based on the lapsed class time until the reason for the refund.
④. For refunds made for reasons for described in paragraph 1 and 2, refunds will be provided within 5 days since the occurrence of the reason.

9.Class contents such as conversation contents of members who use telephone lecture service may be recorded / recorded for [service] purposes. Members who do not want to record / record must disclose their intention to deny on the site per the way designated by Deep Love Co., Ltd.
10.The provision of the member 's recording is to be disclosed only to the member himself/herself. Deep Love Co., Ltd is responsible for faithfully managing the recording file of the member.
11.The conversation recorded by the member recorded in accordance with Paragraph 10 will be stored safely on the recording server of Deep Love Co., Ltd and will be automatically discarded after one month from the date of storage.

Article 17 (Obligation of Deep Love Co., Ltd)
1. Deep Love Co., Ltd shall not violate relevant laws and regulations, or act against the moral and customs, and shall do its best to provide the service continuously and reliably as stipulated by this agreement.
2. Deep Love Co., Ltd will repair or restore any hardware failures without delay unless there is an inevitable reason that this cannot be completed.
3. Deep Love Co., Ltd will setup security measures to keep members’ information secure and provide secure services.
4. Deep Love Co., Ltd should immediately deal with any opinions or complaints that are raised about the use of the service by members, if they are justified. However, if it is difficult to process it promptly, the member should be notified of the reason and the schedule of when it is going to be processed.

Article 18 (Obligation of member)
1. Only members have the authority for permission to access and transmit any of course materials without prior written permission.
2. You are not authorized to.

1) You must not post false fact when you change your information use other ID and information, sharing information.
2) You may not use the service for commercial purposes. Re-publish, broadcast, copy, sell, transmit or distribute any of information about Deep love Co, Ltd to any third party except in the case promoting public interest with consent of Deep love Co, Ltd.
3) You will not allow infringement of copyright and interests of third parties.
4) You must not sell service of deep love co, Ltd and offering, sharing, disclose of Deep love Co, Ltd to any third party without consent.
5) Members must not assume an employee or operator from Deep love Co, Ltd and impede operation efficiency of service.
6) You must not spread information about mark, words, voice, sound from website.

3. Members must manage their information to use service and if there is update notice in article 6 about your information, you will need to notify on ‘modify page’ website.

Article 19 (Personal information protection)
1. Deep love Co, Ltd will try to make an effort to protect your registered information by law, and your personal information follow law under “privacy policy” of Deep love Co, Ltd.
2. Deep love Co. Ltd may disclose some part of data to other company which is partnership with Deep love Co, Ltd, and when we consign member of personal information we will post on “privacy policy page”

Article 20 (Cancellation)
1. Cancellation is available anytime for subscribes to Deep love Co, Ltd website. According to article 11 clause 2, it is possible to cancel except unavoidable reason.
2. If you violate stipulation, we will inform you and cancel a contract or limited access. However, we will give opportunity for correct a defect before we cancel.

Article 21 (Prohibition of transfer)
1. You must not authority for using your access, transfer and transmit any of the service and it is totally your responsibility on using board.
2. Deep Love Co., Ltd will notify the members in advance if the provider of the service is changed by merging, split merging, or transferring the service to a third party. In this case, members who oppose merger, split merger, or transfer of service may terminate the service use contract.

Article 22 (Compensation for damages)
1.Deep love Co. Ltd take responsibility for compensation for damage if we do damage for member by mistake.
2.If there is damage in the process of service, Deep love Co, Ltd take responsibility for compensation following below

1)Deep love Co, Ltd compensated members in situation such system security check, public opinion, replacement and temporary suspension.
2)Deep love Co, Ltd compensated members for a toll service restore, exchange, refund if there is not working with charged service that paid-in.

3.If there is damage to Maeil Chinese or complaints to Deep love Co, Ltd from a third party by one individual taking an unlawful actions, that individual should be responsible for the compensation claim to Maeil Chinese, Inc.

Article 23 (Notice to Members)
1. Deep Love Co., Ltd can notify members about the rights and obligations necessary to use the service by e-mail or SMS designated by the member.
2. Deep Love Co., Ltd can replace individual notice by posting to the service of the notice for many unspecified members.

Article (Disclaimer)
1. Deep Love Co., Ltd is exempted from responsibility for service if it cannot provide service due to natural disasters or other uncontrollable circumstances
2. Deep Love Co., Ltd is not responsible for the disability of the service due to the reason of the member.
3. Deep Love Co., Ltd is exempted from the liability for damages caused by members' failure to obtain the benefits expected from the service provided by Deep Love, or for the selection or use of the service data.
4. Deep Love Co., Ltd is not responsible for the reliability and accuracy of the information that the third party has stored, posted or transmitted to the website.
5. Deep Love Co., Ltd is not liable for any problems that occur when a member uses a link to a third party website (referred to as "link site") such as an advertiser who is exposed on the website.

Article 25 (Jurisdiction and Governing Law)
1. The lawsuits between members who are accrued while using the service and Everyday Chinese are brought to the competent courts under the Civil Procedure Act.
2. The Korean law applies to lawsuits filed between Deep Love Co., Ltd and users.

[Addendum]
These Terms and Conditions will be effective from May 11, 2016, and the existing terms that were in effect from September 2005 will be replaced by these Terms. Subscribers who have registered earlier than the effective date of the revised Terms and Conditions will also be subject to the revised Terms and Conditions.
